What is a 'Virtual Kitchen' for a Capriottis Sandwich Shop franchise?

Capriottis_Sandwich_Shop Franchise · 2025 FDD

Answer from 2025 FDD Document

Your Restaurant may operate at a type of non-traditional location that we call a "Virtual Kitchen." A Virtual Kitchen is characterized by, among other things, the preparation of diverse products under one or more brands in a common venue (which may be stationary or mobile) and the sale and delivery of such products principally or exclusively off-premises through third-party delivery systems. If your Restaurant will operate at a Virtual Kitchen, we and you will sign a Franchise Agreement Amendment for Virtual Kitchen Operations, attached as Exhibit L to this Franchise Disclosure Document, to reflect certain changes to our standard franchise agreement ("Franchise Agreement") for that venue.

What This Means (2025 FDD)

According to the 2025 Capriottis Sandwich Shop Franchise Disclosure Document, a 'Virtual Kitchen' is a specific type of non-traditional location where a Capriottis Sandwich Shop restaurant can operate. These locations are characterized by preparing diverse products under one or more brands in a shared venue, which can be either stationary or mobile. The primary focus of a Virtual Kitchen is off-premises sales and delivery, mainly or exclusively through third-party delivery systems.

For a prospective Capriottis Sandwich Shop franchisee, this means that instead of operating a traditional brick-and-mortar restaurant with dine-in service, they can run a kitchen focused solely on fulfilling delivery orders. This model can potentially reduce overhead costs associated with a traditional restaurant, such as rent for a large space and expenses related to maintaining a dining area. However, it also means relying heavily on third-party delivery services, which can impact profit margins due to commission fees.

If a franchisee chooses to operate a Capriottis Sandwich Shop restaurant as a Virtual Kitchen, they will need to sign a specific amendment to the standard franchise agreement. This amendment, known as the Franchise Agreement Amendment for Virtual Kitchen Operations and attached as Exhibit L to the Franchise Disclosure Document, will outline the changes to the standard agreement that are specific to this type of operation. This suggests that the operational requirements and expectations for a Virtual Kitchen may differ from those of a traditional Capriottis Sandwich Shop restaurant, and franchisees should carefully review this amendment to understand their obligations.

It is important for potential franchisees to consider the implications of operating a Virtual Kitchen, including the reliance on delivery services, the potential for reduced overhead, and the specific terms outlined in the Franchise Agreement Amendment. Understanding these factors is crucial in determining whether a Virtual Kitchen model aligns with their business goals and capabilities within the Capriottis Sandwich Shop franchise system.
