Each Cooperative must be organized for the purposes of, and all contributions to the Cooperative and any earnings on those contributions must be used exclusively to meet costs for, maintaining, directing, and preparing advertising and/or promotional activities for the particular region (including the costs of television, radio, magazine, digital, and social advertising campaigns; direct-mail and outdoor billboard advertising; marketing surveys and other public relations activities; employing advertising agencies; and providing promotional brochures and other marketing materials to the Restaurants). These monies may also be used to defray our reasonable administrative costs and overhead related to the administration or direction of the Cooperative or its advertising programs. The Cooperative operates solely as a conduit for the collection and expenditure of advertising contributions for the purposes stated in the Franchise Agreement.
