What This Means (2024 FDD)
According to C3 Wellness Spa's 2024 Franchise Disclosure Document, a franchisee must permanently cease using the Know-How, along with other proprietary information and systems, if they are no longer a franchisee. This includes refraining from representing themselves as a current or former C3 Wellness Spa franchisee.
Specifically, the franchisee must stop using the System, which includes the Confidential Information, Licensed Marks, Business Management System Data, and the Operations Manual. They must also cease using any methods, procedures, or techniques associated with the System in which C3 Wellness Spa possesses proprietary rights or that constitute their trade secrets. This extends to System Supplies, Approved Spa Products and Services, and any advertising or marketing materials associated with C3 Wellness Spa.
This requirement is standard in franchising to protect the brand's intellectual property and maintain consistency across all franchise locations. By ceasing use of the Know-How and System, the former franchisee cannot unfairly compete with the C3 Wellness Spa system or misrepresent their affiliation with the brand. This protects the integrity of the C3 Wellness Spa brand and the interests of current franchisees.
