What This Means (2024 FDD)

According to C3 Wellness Spa's 2024 Franchise Disclosure Document, there are restrictions regarding the franchisor obtaining benefits from the franchisee's suppliers. Specifically, under Indiana Code Section 23-2-2.7-1(4), C3 Wellness Spa is restricted from receiving money, goods, services, or any other benefit from individuals or entities with whom the franchisee conducts business. This restriction applies to benefits received due to or related to transactions between the franchisee and these other parties.

However, there are exceptions to this rule. C3 Wellness Spa is permitted to receive compensation for services they directly render to the franchisee. Additionally, if the franchisor does receive any benefit, they must promptly account for it and transmit it to the franchisee. This ensures transparency and prevents the franchisor from profiting unfairly from the franchisee's business relationships.

This provision is particularly relevant for prospective franchisees as it protects them from potential conflicts of interest or unfair practices by C3 Wellness Spa. It ensures that any benefits the franchisor receives from the franchisee's suppliers are either justified as compensation for services or are passed back to the franchisee, maintaining a fair business relationship. Franchisees should ensure they understand these regulations and how they are applied in practice to safeguard their interests.
