What This Means (2024 FDD)

According to the 2024 C3 Wellness Spa Franchise Disclosure Document, Exhibit K, titled "FDD Receipts," is supplemented with specific information, particularly concerning franchise law in Hawaii. This exhibit is crucial because it outlines the legal requirements and disclosures necessary when offering or selling a C3 Wellness Spa franchise in Hawaii. It emphasizes that the filing of the franchise does not constitute approval or endorsement by the Director of Commerce and Consumer Affairs, nor does it guarantee the truthfulness or completeness of the information provided. This disclosure ensures that prospective franchisees understand that they must conduct their own due diligence.

Exhibit K further clarifies the prospective franchisee's rights, stating that it is unlawful to offer or sell a franchise in Hawaii without providing the prospective franchisee a copy of the disclosure document and all proposed agreements at least seven days before the execution of any binding agreement or payment of any consideration. This seven-day review period is a standard practice in franchising, allowing potential franchisees adequate time to review the documents and seek legal counsel. The exhibit also states that the disclosure document contains only a summary of certain material provisions of the franchise agreement, advising franchisees to refer to the actual contract for a complete understanding of their rights and obligations.

Finally, Exhibit K includes a provision that protects franchisees by stating that no agreement signed by a franchisee can waive claims under state franchise law, including claims of fraud, or disclaim reliance on statements made by the franchisor. This provision supersedes any other conflicting terms in any document executed in connection with the franchise, reinforcing the franchisee's legal protections and rights within the franchise relationship. This ensures that franchisees cannot inadvertently forfeit their rights through contractual language.
