What This Means (2024 FDD)
According to the 2024 C3 Wellness Spa Franchise Disclosure Document, the 'Tenant' in the Lease Agreement Rider refers to the franchisee and has specific obligations and restrictions regarding the lease of the premises. The Lease Agreement Rider itself is defined as Exhibit 4 attached to the Franchise Agreement.
Specifically, the Tenant (franchisee) is restricted from transferring, subleasing, encumbering, or assigning their interests in the lease or the leased premises without the prior written consent of C3 Wellness Spa (the franchisor). If the Tenant seeks the landlord's consent for any such actions, the Tenant must ensure that the landlord's approval is conditional upon obtaining the franchisor's written consent as well.
This provision ensures that C3 Wellness Spa maintains control over the location of its franchises and can prevent franchisees from transferring the lease to unsuitable parties or making changes to the lease terms without the franchisor's knowledge and approval. This protects the brand's image and operational consistency. Furthermore, the document states that in the event of a conflict between the Lease and the Rider, the Rider's terms will take precedence. The Landlord and Tenant also acknowledge that the rights detailed in the Rider cannot be reduced, modified, or altered without the express written consent of C3 Wellness Spa.
