Who has the right to access C3 Wellness Spa facilities and for what purposes?

"C3 Wellness Spa(s)" shall have the meaning defined in the Recitals section of this Agreement and, without limitation to the Recitals section, the definition of "C3 Wellness Spas", shall further include, refer to and mean: every business and all businesses owned and/or operated by Franchisor, Franchisor's affiliates and/or authorized franchisees that use and/or is/are required to use the System and/or Licensed Marks, and, including, but not limited to, the Franchised Business.
"Confidential Information" refers to and means: (a) non-public methods, specifications, standards, policies, procedures, information, concepts, programs and systems relating to the development, establishment, marketing, promotion and operation of the C3 Wellness Business; (b) information concerning customers, customer lists, email lists, database lists, product sales, operating results, financial performance and other financial data of the C3 Wellness Business; (c) customer lists and information related to the C3 Wellness Business; (d) Business Management System Data; (e) current and future information contained in the C3 Wellness Operations Manual made available to the C3 Wellness Business by Aryes Franchising LLC; and (f) production and service procedures that are not disclosed to the public but used by the C3 Wellness Business.
- 3. Your Access to Confidential Information. In addition to the representations and acknowledgments contained in the Recitals and Representations, above, you acknowledge and represent that in your capacity as an employee, independent contractor, officer and/or director of the C3 Wellness Business that you will be gaining access to, among other things, the Confidential Information. You acknowledge that the terms of this Agreement are fair and reasonable.
- 4. Protection of the Confidential Information. You agree that: (i) you will not use the Confidential Information in any business or capacity other than the C3 Wellness Business; (ii) you will maintain the confidentiality of the Confidential Information at all times; (iii) you will not make unauthorized copies of documents containing the Confidential Information; (iv) you will take such reasonable steps as the we may ask of you from time to time to prevent unauthorized use or disclosure of the Confidential Information; and (v) you will stop using the Confidential Information immediately at our request or demand. You will not use the Confidential Information for any purpose other than for the performance of your duties on behalf of us and in accordance with the scope of your work with us.

What This Means (2024 FDD)
Based on the 2024 C3 Wellness Spa Franchise Disclosure Document, the franchisor, its affiliates, and authorized franchisees have the right to access C3 Wellness Spa facilities. This access is related to businesses owned or operated by these parties that utilize the C3 Wellness Spa system and licensed marks, including the franchised business itself. The document also defines "C3 Wellness Spa(s)" to include every business owned and/or operated by the franchisor, its affiliates, and/or authorized franchisees that use the System and/or Licensed Marks, and, including, but not limited to, the Franchised Business.
Furthermore, employees, independent contractors, officers, and/or directors of a C3 Wellness Business may gain access to confidential information as part of their roles. However, their access is subject to a confidentiality agreement, which restricts the use of this information to C3 Wellness Spa business purposes only. They are obligated to maintain the confidentiality of the information, prevent unauthorized copies, and cease using the information upon request.
In practical terms, this means that as a C3 Wellness Spa franchisee, you and your staff will have access to the facilities and confidential information necessary to operate the business. However, this access comes with the responsibility to protect the franchisor's proprietary information and adhere to the operational standards outlined in the franchise agreement. Prospective franchisees should carefully review the confidentiality agreement and understand the limitations and obligations it imposes.
