What This Means (2024 FDD)
According to the 2024 C3 Wellness Spa FDD, franchisees must acknowledge that C3 Wellness Spa has developed a distinctive and proprietary system for the non-medical development, management, and potential operation of a spa. This system is used for offering facial treatment services, medical spa services, IV vitamin therapy, massage therapy services, physical therapy, cosmetic services, topical skin treatments, essential oils, and other cosmetic, medical spa, and spa-related services and retail products under the Licensed Marks. The franchisee acknowledges entering into a C3 Wellness Spa Franchise Agreement for the development and operation of a Spa Location Franchise.
Furthermore, the franchisee acknowledges receiving and thoroughly reviewing the completed Franchise Agreement, including all attached schedules and exhibits. C3 Wellness Spa recommends that the franchisee thoroughly review the Franchise Agreement and all related documents with a lawyer selected and hired by the franchisee. This recommendation underscores the importance of understanding the legal and business obligations before entering into the franchise agreement.
In essence, C3 Wellness Spa requires franchisees to recognize the value and importance of the System and Intellectual Property, and to confirm that they have conducted due diligence by reviewing all relevant documents and seeking legal counsel. This acknowledgement is a standard practice in franchising, ensuring that franchisees are fully aware of what they are agreeing to and the resources available to them.
