What This Means (2024 FDD)

According to the 2024 C3 Wellness Spa Franchise Disclosure Document, as part of the license agreement, the Practice (franchisee) is prohibited from taking actions that could harm C3 Wellness Spa's trademark ownership. Specifically, the franchisee cannot take any action to contest or impair the manager's (franchisor's) ownership rights, dilute, tarnish, or infringe upon the trademark. They are also barred from assisting any third party in such actions.

Additionally, the franchisee is not allowed to dispute or contest the right, title, or validity of the trademark at any time. This means the franchisee acknowledges C3 Wellness Spa's exclusive rights to the trademark and cannot challenge those rights in any way.

Furthermore, the franchisee is prohibited from attempting to register or use any intellectual property, including trademarks, service marks, or copyrights, that are similar to the C3 Wellness Spa trademark. This prevents the franchisee from creating potentially confusingly similar marks that could undermine the brand's identity and market recognition. These restrictions protect C3 Wellness Spa's intellectual property and brand identity.
