What This Means (2024 FDD)
According to the 2024 C3 Wellness Spa FDD, the ownership of business records is addressed within the context of a confidentiality agreement. Specifically, the agreement defines a "Business Management System" as the software used for operations, and "Business Management System Data" includes forms, customer information, inventory, and sales data.
The confidentiality agreement states that this Business Management System Data is considered Confidential Information. This agreement is between the C3 Wellness Spa franchisee (as the business owner) and their employees or contractors. The agreement aims to protect the franchisee's confidential information, including the data within their business management systems.
In practical terms, this means that as a C3 Wellness Spa franchisee, you own the business records and data generated by your spa's operations. However, you must ensure that your employees and contractors maintain the confidentiality of this information. This is typically achieved through a confidentiality agreement, a sample of which is provided in the FDD. It is important to have any such agreement reviewed by an independent local attorney to ensure it complies with local laws and adequately protects your interests.
While the franchisor, Aryes Franchising LLC, is not a direct party to the confidentiality agreement, they are named as an intended third-party beneficiary, indicating their interest in protecting the C3 Wellness Spa system's confidential information. Therefore, franchisees must manage their business records and ensure their confidentiality to protect their business and maintain the integrity of the C3 Wellness Spa brand.
