C3_Wellness_Spa Franchise · 2024 FDD

Answer from 2024 FDD Document

Landlord agrees to notify Franchisor by nationally recognized overnight courier at the Notice Address of any default by Tenant under the Lease. Landlord agrees that such notice shall afford Franchisor the option for Franchisor to invoke a cure period whereby Franchisor, upon Franchisor's sole election, shall be granted an additional 15 day period to cure any monetary default by Tenant under the Lease and an additional 30 day period to cure any non-monetary default by Tenant under the Lease. In the event that the non-monetary default cannot reasonably be cured within such period and if diligent efforts to cure promptly commence, then the cure period shall continue as long as such diligent efforts to cure continue, but not beyond 180 days from the date notice is provided.

What This Means (2024 FDD)

According to C3 Wellness Spa's 2024 Franchise Disclosure Document, if a tenant (the franchisee) commits a non-monetary default under the lease agreement, the franchisor, C3 Wellness Spa, has the option to invoke a cure period. The initial cure period granted to C3 Wellness Spa is 30 days to address the non-monetary default. This means that C3 Wellness Spa has a limited time to rectify the default.

However, the 2024 FDD states that if the non-monetary default cannot be reasonably resolved within this initial 30-day period, and if C3 Wellness Spa promptly begins working to cure the default, the cure period can be extended. This extension allows C3 Wellness Spa additional time to resolve the issue, provided they are actively and diligently pursuing a solution.

The extended cure period can last as long as these diligent efforts continue, but it cannot exceed 180 days from the date the notice of default was initially provided. This provides C3 Wellness Spa with a maximum timeframe to address and resolve the non-monetary default, balancing the need for timely resolution with the practical challenges of curing certain types of defaults. This clause protects C3 Wellness Spa, as the franchisor, by giving them time to ensure the location remains compliant with the lease, which is vital for maintaining brand standards and operational stability.
