Can C3 Wellness Spa modify the System from time to time?

Franchisor, in Franchisor's Reasonable Business Judgment, reserves the right at all times to supplement, modify, alter and/or amend the System. Franchisee shall promptly comply with all such modifications to the System whether such modification(s) results in the addition, subtraction, modification and/or enhancement to any and/or all components of the System. Franchisor shall provide Franchisee with a reasonable time period to comply with any change or modification to the System which shall be communicated in writing by Franchisor to Franchisee, including, but not limited to, modifications, updated, amendments, and changes made by Franchisor to the Operations Manual. Franchisor's modifications to the System shall not materially alter Franchisee's fundamental rights under this Agreement.

What This Means (2024 FDD)
According to C3 Wellness Spa's 2024 Franchise Disclosure Document, C3 Wellness Spa retains the right to modify the System. C3 Wellness Spa, in its reasonable business judgment, can supplement, modify, alter, and/or amend the System at any time. This means that C3 Wellness Spa can make changes to various aspects of the franchise operations, including additions, subtractions, modifications, and/or enhancements to any components of the System.
As a franchisee, you are obligated to promptly comply with all such modifications to the System. C3 Wellness Spa will communicate these changes in writing, providing a reasonable time period for compliance. These modifications may include updates, amendments, and changes to the Operations Manual.
However, C3 Wellness Spa's modifications to the System cannot materially alter a franchisee's fundamental rights under the Franchise Agreement. This provision offers some protection to franchisees, ensuring that changes to the System do not drastically undermine the core rights and benefits of the franchise agreement. Prospective franchisees should pay attention to how C3 Wellness Spa defines "fundamental rights" and what recourse they have if they believe a modification oversteps this boundary.
