What This Means (2024 FDD)

According to the 2024 C3 Wellness Spa Franchise Disclosure Document, a franchisee does not have the option to terminate the Multi-Unit Development Agreement. The FDD states explicitly that there is no provision allowing the franchisee to terminate this agreement. This means a franchisee is bound by the terms of the agreement unless C3 Wellness Spa agrees to a mutual termination in writing.

C3 Wellness Spa, however, can terminate the Multi-Unit Development Agreement with cause under specific circumstances. These circumstances include if the franchisee abandons their obligations under the agreement, discontinues development of Spa Location Franchises within the Development Area for four consecutive months (or a shorter period indicating intent to discontinue), becomes insolvent or bankrupt, makes an assignment for the benefit of creditors, or fails to meet development obligations under the Development Schedule.
