What This Means (2024 FDD)

According to C3 Wellness Spa's 2024 Franchise Disclosure Document, if a franchisee is required to participate in an Advertising Cooperative, their contributions to that cooperative count toward meeting their minimum local marketing obligations. However, the franchisee's contributions to the Advertising Cooperative cannot exceed the minimum local marketing obligations outlined in Article 9.B of the Franchise Agreement. This means that participation in the Advertising Cooperative can help a C3 Wellness Spa franchisee fulfill their local marketing requirements, but it does not obligate them to spend more than what is already required in their agreement.

This arrangement benefits franchisees by allowing them to pool resources and coordinate marketing efforts with other franchisees in their region through the Advertising Cooperative. The cooperative is intended to administer marketing programs and develop media for local or regional marketing, subject to the franchisor's review and approval. By contributing to the Advertising Cooperative, franchisees can leverage the collective expertise and buying power of the group, potentially leading to more effective marketing campaigns than they could achieve on their own.

However, franchisees must adhere to the rules and regulations established by C3 Wellness Spa for the Advertising Cooperative, as outlined in the Operations Manual. The franchisor also retains the right to approve all marketing materials and plans used by the cooperative. While participation in the Advertising Cooperative can satisfy the minimum local marketing obligations, franchisees must still ensure that their contributions align with the cooperative's requirements and the franchisor's guidelines. Franchisees are also required to submit statements and reports to both the Advertising Cooperative and C3 Wellness Spa, as required.
