What This Means (2024 FDD)

According to C3 Wellness Spa's 2024 Franchise Disclosure Document, the term "Reasonable Business Judgment" refers to the business judgment of the franchisor, relating to decisions and actions concerning the Franchise Agreement, the System, Spa Location Franchises, the franchisee's Spa Location, and/or the Franchised Business. This judgment is exercised with the intention of benefitting or acting in a way that could benefit the System. Examples include enhancing the value of the Licensed Marks, increasing customer satisfaction, minimizing potential customer confusion, determining designated territory markets, expanding brand awareness, and implementing marketing and accounting control systems.

The franchisee agrees that any decision, determination, action, or choice made by the franchisor in their Reasonable Business Judgment takes precedence, even if other alternatives are reasonable or preferable. This means that C3 Wellness Spa franchisees must comply with the franchisor's decisions made in good faith to benefit the overall system, even if the franchisee disagrees or sees a different approach as potentially better.

In connection with any decision made under Reasonable Business Judgment, the franchisee essentially agrees to abide by the franchisor's choices, understanding that these are made with the intent to positively impact the C3 Wellness Spa system as a whole. This clause underscores the franchisor's control over key aspects of the franchise operation and the franchisee's obligation to adhere to the franchisor's strategic direction.
