What This Means (2024 FDD)
Based on the 2024 Franchise Disclosure Document, the Site Selection Acknowledgment for C3 Wellness Spa states that its terms do not override the Franchise Agreement. Specifically, in the event of any conflict or inconsistency between the Site Selection Acknowledgment and the Franchise Agreement, the terms of the Franchise Agreement will take precedence. This ensures that the overarching Franchise Agreement remains the governing document.
This clause is important for prospective franchisees as it clarifies the hierarchy of agreements. While the Site Selection Acknowledgment provides a temporary period for franchisees to identify a potential spa location without the franchisor granting the same right to another party, it does not grant any territorial rights and is always subject to the Franchise Agreement. Franchisees should, therefore, focus on understanding the terms of the Franchise Agreement, as it dictates the long-term rights and obligations of both parties.
For a potential C3 Wellness Spa franchisee, this means that any promises or understandings made during the site selection process that are not reflected in the Franchise Agreement may not be enforceable. It is crucial to ensure that all key terms, conditions, and agreements are incorporated into the final Franchise Agreement to avoid potential disputes or misunderstandings later on. This clause reinforces the importance of carefully reviewing and understanding the Franchise Agreement before signing any other related documents.
