ITEM 15 OBLIGATION TO PARTICIPATE IN THE ACTUAL OPERATION OF THE FRANCHISE BUSINESS*
The Franchise Agreement requires that you or, if you are a Corporate Entity, that your managing shareholder, member or partner be personally responsible for the management and overall supervision of your Spa Location Franchise (the "Managing Owner"). We must approve your Managing Owner. Your Managing Owner must have satisfactorily completed our initial training and must have obtained all required licenses and permits necessary to operate the Franchised Business. At all times, your Spa Location Franchise must be managed and supervised on-site by a Managing Owner. If you own and operate multiple Spa Location Franchises then each Spa Location Franchise may be managed and supervised on-site by an operating manager if: (a) meets all of our minimum standards and criteria for managers; (b) completes our initial training program; and (c) signs a confidentiality agreement approved by us (an "Operating Manager"). We do not require that your Operating Manager own any equity interest in the franchise. At all times, your Spa Location Franchise must be managed and supervised on-site by either a Managing Owner or Operating Manager. If you own and operate multiple Spa Location Franchises then each Spa Location Franchise must be managed and supervised on-site by an Operating Manager.
You and, if you are a Corporate Entity, each of your members, shareholders and/or partners (collectively, "Owners"), must personally guarantee all of your obligations to us under the Franchise Agreement.

What This Means (2024 FDD)
According to the 2024 C3 Wellness Spa Franchise Disclosure Document, if a franchisee owns and operates multiple Spa Location Franchises, each location may be managed by an operating manager, provided the operating manager meets certain criteria. One of these criteria is that the operating manager must sign a confidentiality agreement that is approved by C3 Wellness Spa. This agreement ensures that the operating manager is legally bound to protect the confidential information of C3 Wellness Spa.
This requirement is significant for franchisees who plan to expand and operate multiple C3 Wellness Spa locations, as they will need to ensure that each operating manager completes and adheres to the confidentiality agreement approved by C3 Wellness Spa. The franchisor's approval of the confidentiality agreement is a measure to protect its proprietary information and maintain consistency across all franchise locations.
Furthermore, C3 Wellness Spa also requires that managers and all other employees and agents with access to confidential information sign a confidentiality agreement. This broader requirement underscores the importance C3 Wellness Spa places on safeguarding its confidential information and trade secrets, which are vital to maintaining its competitive edge and operational standards. Franchisees must ensure compliance with this requirement to avoid potential breaches of confidentiality and maintain a secure business environment.
