What This Means (2025 FDD)
According to Buona's 2025 Franchise Disclosure Document, the Confidential Operations Standards Manual remains the sole property of Buona and must be returned at Buona's direction upon termination of the Franchise Agreement. Franchisees must either return any printed copies of the manual to Buona or destroy any files containing the manual upon termination of the agreement.
This requirement ensures that Buona maintains control over its proprietary information and trade secrets, which are crucial for maintaining the uniformity and standards of the Buona system. The manual contains essential operational guidelines, standards, specifications, procedures, and techniques that franchisees must adhere to during the term of their agreement.
For a prospective franchisee, this means that upon the end of the franchise term, they no longer have the right to use or possess the operational knowledge contained within the manual. This is a standard practice in franchising, as the operations manual is considered a key component of the franchisor's intellectual property. Failure to comply with this requirement could result in legal action from Buona to protect its confidential information.
