What This Means (2025 FDD)

According to Buona's 2025 Franchise Disclosure Document, a developer must execute a Franchise Agreement for the first franchised restaurant when signing the Area Development Agreement. This initial franchise agreement allows the developer to begin operations at their first location while also securing the rights to develop additional Buona restaurants within a specific area.

In addition to the Franchise Agreement, owners of the developing entity must also sign a Guaranty and Assumption of Obligations, as detailed in Exhibit C of the Area Development Agreement. This ensures that the owners personally guarantee the developer's obligations under the Area Development Agreement.

Furthermore, the simultaneous signing of the Franchise Agreement triggers the payment of initial franchise fees for the first location. The developer also pays a Development Fee for the rights to develop additional locations, with a portion of this fee being credited towards the Initial Franchise Fee for each subsequent Buona restaurant opened under the Area Development Agreement. This structure incentivizes the developer to adhere to the development schedule outlined in the agreement.
