We are a Texas corporation incorporated on April 3, 2000, under the name Bumper Man Franchising Company, Inc. as a wholly-owned subsidiary of Bumper Man, Inc. ("BMI"). BMI was formed July 2, 1997. On March 20, 2008, the shareholders of BMI approved a merger with Bumper Man Franchising Company, Inc. whereby Bumper Man Franchising Company, Inc. was the surviving company and subsequently changed its name to "Bumper Man, Inc." The Certificate of Merger was filed with the Texas Secretary of State on April 1, 2008. We have since offered "Bumper Man" franchises under the name Bumper Man, Inc.
