What state's laws govern the Bumper Man Franchise Agreement?

According to the 2025 Bumper Man Franchise Disclosure Document, the Franchise Agreement generally requires the application of Texas law. However, this may not be enforceable under California law. Furthermore, the laws of Illinois, Maryland, Minnesota, Rhode Island, and Washington may affect the agreement, depending on where the franchise is located or where the franchisee resides.

Specifically, Illinois law will govern the agreement, and any related legal actions must be brought in Illinois federal or state court if the offer or sale of the franchise was made in Illinois, the franchisee is a resident of Illinois, and/or the Bumper Business will be located in Illinois. Similarly, Maryland law affects the agreement if the offer or sale of the franchise was made in Maryland, the franchisee is a resident of Maryland, and/or the Bumper Business will be operated in Maryland. Minnesota law prohibits Bumper Man from requiring litigation to be conducted outside of Minnesota, requiring waiver of a jury trial, or requiring the franchisee to consent to liquidated damages, termination penalties, or judgment notes.

Additionally, Rhode Island law stipulates that any provision in a franchise agreement restricting jurisdiction or venue to a forum outside of Rhode Island or requiring the application of the laws of another state is void with respect to a claim otherwise enforceable under the Rhode Island Franchise Investment Act. Washington also has an addendum to the franchise agreement and related agreements.
