What This Means (2025 FDD)
According to Bumper Man's 2025 Franchise Disclosure Document, the General Release specifies who is included in the definition of 'Releasors.' This definition encompasses the franchisee and any guarantors, acting on behalf of themselves, as well as their successors, heirs, personal representatives, executors, administrators, agents, contractors, assigns, partners, shareholders, members, directors, officers, principals, employees, parents, subsidiaries, and affiliated entities. All of these parties are collectively referred to as "Releasors."
This broad definition means that when a franchisee or guarantor signs the General Release, they are not only releasing claims on their own behalf but also on behalf of a wide range of related individuals and entities. This could have significant implications, as it extends the scope of the release far beyond just the franchisee and guarantor themselves. For example, any claims that an employee of the franchisee might have against Bumper Man would also be released.
Prospective franchisees should carefully consider the implications of this extensive definition and how it might affect their related parties. It is advisable to seek legal counsel to fully understand the scope of the release and ensure that all parties who might be affected are aware of the implications before signing the agreement. This is especially important if there are any existing or potential claims that any of these related parties might have against Bumper Man.
