ee and its Certified Technician will operate the Bumper Business, as set forth in Exhibit F.
- (j) "Certified Technician Fee" means the fee equal to 50% of the Initial Franchise Fee, as set forth in the Certified Technician Addendum.
- (k) "Certified Technician Operating Principal" means a natural person who: (i) owns directly or indirectly at least 51% Equity Interest in Certified Technician and has the authority to direct the day-to-day operations of the Certified Technician; (ii) has satisfactorily completed Franchisor's Initial Training program at Certified Technician's expense; (iii) will thereafter devote full time and best efforts to the operation of the Bumper Business and have the authority and responsibility for the day-to-day management and operation of the Bumper Business and supervision of the Personnel; and (iv) serves as a primary point of contact on behalf of the Certified Technician in communications with the Franchisor. If the Certified Technician is an Entity, then the Certified Technician Operating Principal will be identified in the Certified Technician Addendum.
- (l) "Code of Conduct" means those policies related to corporate social responsibility with which Franchisee and each Principal must comply as set forth in the Manual and as may be amended from Franchisor from time to time, including without limitation policies regarding gifts, gratuities, employment matters, compliance with anti-terrorism, anti-boycott and anticorruption regulations and laws, and taking and passing drug tests.

According to the 2025 Bumper Man Franchise Disclosure Document, if the Certified Technician is an entity, they must designate a Certified Technician Operating Principal. This individual must meet specific criteria to ensure proper management and communication with Bumper Man.
The Certified Technician Operating Principal must: (1) own directly or indirectly at least 51% equity interest in the Certified Technician entity, giving them the authority to direct the day-to-day operations; (2) satisfactorily complete Bumper Man's Initial Training program at the Certified Technician's expense; (3) devote full time and best efforts to the operation of the Bumper Business, managing daily operations and supervising personnel; and (4) serve as the primary contact for communications with Bumper Man.
This requirement ensures that Bumper Man has a clear point of contact and that the Certified Technician is managed by someone fully trained and invested in the business. The Certified Technician Operating Principal must also meet the criteria described in the Franchise Agreement. Furthermore, all equity interests in the Certified Technician entity must be disclosed in the Guaranty and Undertaking of Obligations, providing transparency to Bumper Man regarding ownership and control.
