What This Means (2025 FDD)

According to Bumper Man's 2025 Franchise Disclosure Document, the definition of 'Confidential Information' does include financial controls. The FDD specifies that confidential information encompasses a wide array of data related to the Bumper Man system. This includes training and operational methodology content, explicitly mentioning financial controls, as well as management programs.

This means that as a Bumper Man franchisee, you are obligated to maintain the confidentiality of all information related to the financial controls of the business. This obligation extends not only during the term of the Franchise Agreement but also after its termination, expiration, or transfer. You are only permitted to disclose this information to personnel who need it to operate the Bumper Business, and even then, those personnel must be bound by a confidentiality agreement with similar covenants and obligations.

The broad definition of confidential information also includes standards and specifications for operating a Bumper Business, the Manual, services, products, designs, devices, tools, pricing, technology, point of sale systems, computer software, advertising, marketing, promotional programs, and customer data. This highlights the importance Bumper Man places on protecting its proprietary information and maintaining a competitive advantage. Franchisees must be diligent in safeguarding this information to avoid potential legal repercussions and maintain a positive relationship with the franchisor.

Furthermore, any new concepts, processes, or improvements developed by the franchisee in connection with the Bumper Business become the sole property of Bumper Man. This underscores the franchisor's control over the system and its continuous improvement, which is a common practice in franchising to ensure consistency and protect the brand's intellectual property.
