What This Means (2025 FDD)

According to the 2025 Bumper Man Franchise Disclosure Document, Confidential Information encompasses a wide array of proprietary assets crucial to the Bumper Man system. This includes any information, knowledge, know-how, trade secrets, trade dress, methodologies, techniques, procedures, applications, and materials, regardless of their form, that are used in or related to the Bumper Man system. This broad definition extends to information that Bumper Man provides to its franchisees, as well as information that franchisees themselves develop or access in connection with their franchise agreement or the operation of their Bumper Business.

Specifically, Confidential Information includes the Standards, the Manual, services, products, designs, devices, tools, specifications, procedures, and techniques not publicly known in the automotive collision repair industry. It also covers Bumper Man's pricing, technology, point of sale systems, related computer software, advertising, marketing, promotional programs, customer reward programs, Customer Data, financial data and statements, training and operational methodology content (including financial controls), and management programs. Essentially, any information or data regarding the business of Bumper Man or its affiliates that would reasonably be considered proprietary or confidential also falls under this definition.

Bumper Man emphasizes the importance of maintaining the confidentiality of this information, requiring franchisees and their principals to avoid unauthorized use, duplication, or disclosure. Franchisees must implement measures to protect Confidential Information that are at least as strict as those used to protect their own confidential information. Access to Confidential Information by a franchisee's advisors, representatives, agents, or personnel is restricted to uses directly related to their roles within the Bumper Business. All Confidential Information remains the property of Bumper Man, and upon termination of the franchise agreement, franchisees must return all copies of such information to Bumper Man.
