echnician, less any amounts owed to Franchisor, including without limitation note payments, charge-backs on past due invoices, advances made by Franchisor, or attorneys' fees and court costs incurred by Franchisor in enforcing payment of accounts by customers.
- 7. NO TRANSFER. The rights and duties created by this Addendum are personal to Certified Technician, and Franchisor has granted rights under this Addendum in reliance upon the business skill, financial capacity and personal character of Certified Technician. Accordingly, no Transfer of this Addendum or the rights granted to Certified Technician is permitted or authorized.
8. TERM OF ADDENDUM.
- (a) Term. The term of this Addendum will commence on the Effective Date of this Addendum and will expire two years thereafter, unless this Addendum or the Franchise Agreement is terminated as provided in Section 18 of the Franchise Agreement. For the sake of clarity, this Addendum will terminate immediately upon the expiration, termination or Transfer of the Franchise Agreement. The grounds for termination of the Franchise Agreement appear in Exhibit C.
- (b) Renewal. Certified Technician may, at its option, continue to operate the Bumper Business pursuant to this Addendum and the Franchise Agreement for two consecutive two-year terms, subject to Certified Technician's satisfaction of the conditions required by Franchisor as set forth in Section 3(b) of the Franchise Agreement. What This Means (2025 FDD)
According to the 2025 Bumper Man FDD, the term of the addendum commences on the Effective Date of the Addendum. Unless terminated as outlined in Section 18 of the Franchise Agreement, the addendum will expire two years after the effective date. The addendum will terminate immediately upon the expiration, termination, or transfer of the Franchise Agreement.
Certified Technicians have the option to continue operating the Bumper Man business under the addendum and Franchise Agreement for two consecutive two-year terms. This is subject to meeting the conditions required by Bumper Man, as detailed in Section 3(b) of the Franchise Agreement.
If a Certified Technician chooses not to renew but wants to purchase a Bumper Man franchise for a new, available Designated Area, Bumper Man will apply the $25,000 initial franchise fee paid by the Certified Technician towards Bumper Man's then-current initial franchise fee. This is provided that the Certified Technician meets Bumper Man's current criteria for new franchisees, is not in default of the Franchise Agreement and the addendum, and enters into Bumper Man's current form of franchise agreement. However, this does not guarantee exclusivity to any Designated Area or that a Designated Area will be available.
