  • (f) Termination. Bombs Away Franchising may terminate any Market Cooperative. Any funds left in a Market Cooperative upon termination will be transferred to the Marketing Fund.

What This Means (2024 FDD)

According to Bombs Away's 2024 Franchise Disclosure Document, Bombs Away Franchising has the sole right to terminate any Market Cooperative. Upon termination of a Market Cooperative, any remaining funds will be transferred to the Marketing Fund.

Market Cooperatives are advertising and promotional funds that Bombs Away Franchising may establish in specific geographic areas. If a Market Cooperative exists in the franchisee's territory when they begin operations, the franchisee must immediately become a member. If a Market Cooperative is established during the term of the Franchise Agreement, the franchisee must join within 30 days. Bombs Away Franchising will not require a franchisee to be a member of more than one Market Cooperative.

Each Market Cooperative will be organized and governed in a manner determined by Bombs Away Franchising, and Bombs Away Franchising may require the Market Cooperative to adopt bylaws or regulations that they prepare. While the activities of the Market Cooperative are generally decided by a majority vote of its members, Bombs Away Franchising is entitled to attend and participate in any meeting. If the members cannot agree on how to spend the Market Cooperative's money, Bombs Away Franchising may assume decision-making authority after providing 10 days' notice to the members.
