Franchisor franchises certain Stores known as BAGELS Stores, devoted primarily to owning and operating stores that offer and sell "Big Apple Bagels" branded bagels and cream cheeses, "My Favorite Muffin" branded muffins, and "Brewster's" branded coffee for on premises consumption and retail and wholesale distribution.
These Stores will be operated under the trademark and service mark "Big Apple Bagels" plus logos, designs, and such other trademarks, service marks and commercial symbols ("Marks") as will be authorized from time to time by Franchisor.
Such Stores will also be operated in accordance with certain required formats, systems, methods of distribution, standards and procedures, and trade dress, all of which may be improved, further developed or otherwise modified from time to time by Franchisor ("System").

What This Means (2025 FDD)
According to Big Apple Bagels' 2025 Franchise Disclosure Document, Big Apple Bagels stores, also known as BAGELS Stores, will be operated under the trademark and service mark "Big Apple Bagels" plus logos, designs, and such other trademarks, service marks and commercial symbols as will be authorized from time to time by Franchisor.
These marks are part of the broader "System" that franchisees must adhere to, which includes required formats, systems, methods of distribution, standards and procedures, and trade dress. Big Apple Bagels retains the right to improve, further develop, or otherwise modify this System over time.
Big Apple Bagels franchisees are granted the right to use these marks solely for operating their Big Apple Bagels stores. Franchisees acknowledge they have no independent interest in the marks, and all goodwill generated through their use benefits Big Apple Bagels. Upon termination of the franchise agreement, franchisees must cease using the marks, except for any Big Apple Bagels stores they continue to operate under a valid franchise agreement with Big Apple Bagels.
Franchisees cannot use the Big Apple Bagels marks as part of any corporate or trade name or with any modifications unless explicitly authorized in writing by Big Apple Bagels. They are also prohibited from registering the marks on the Internet or using them online in any unauthorized manner. Franchisees must promptly notify Big Apple Bagels of any potential infringement or challenges to the use of the marks, and Big Apple Bagels has the sole discretion to take action and control any related legal proceedings.
