What This Means (2025 FDD)
According to Big Apple Bagels' 2025 Franchise Disclosure Document, Exhibit L, the General Release, must be signed upon renewal or assignment of the franchise. This release is a legal document where the franchisee releases Big Apple Bagels from any and all claims, causes of action, demands, damages, costs, suits, obligations, negligence, misrepresentations, omissions, and fraud.
The General Release covers any issues that may have occurred at any time prior to the date it is signed, and it extends to both known and unknown claims. Big Apple Bagels requires that franchisees acknowledge they have had the opportunity to seek legal counsel and fully understand the release's implications before signing.
In the state of Maryland, the BAB Systems, Inc. Addendum modifies the standard franchise agreement, stating that the general release required for renewal or assignment does not apply to liability under the Maryland Franchise Registration and Disclosure Law. This addendum also specifies that any claims arising under this law must be brought within three years after the franchise grant.
