What This Means (2025 FDD)

According to the 2025 Big Apple Bagels Franchise Disclosure Document, the agreement to maintain confidentiality is crucial for protecting the franchisor's and franchisee's business interests. The agreement ensures that proprietary and confidential information, which includes techniques, systems, procedures, standards, manuals, data, specifications, customer data, and other materials, remains protected. This protection is essential for maintaining a competitive advantage in the market.

The agreement requires the franchisee to maintain absolute confidentiality both during and after the term of the Franchise Agreement. This includes not using the proprietary information in any other business or capacity and preventing unauthorized copies of the information. The franchisee must also implement reasonable procedures to prevent unauthorized use or disclosure, including using non-disclosure and non-competition clauses in employment agreements with employees and agents.

Big Apple Bagels emphasizes that it would be difficult to protect its trade secrets and encourage the free exchange of ideas among its stores if franchisees were allowed to hold interests in other bagel or coffee businesses. The franchisor grants development rights to the developer partly in consideration of the developer's agreement to deal exclusively with the franchisor. This exclusivity and confidentiality are vital for the integrity and success of the Big Apple Bagels franchise system.

An employee acknowledges that they will learn proprietary and confidential information during their employment, recognizing it as an important asset of the employer. The employee agrees to protect this information to help the employer safeguard its business and competitive edge. This obligation extends beyond the termination of employment, requiring the return of all proprietary and confidential materials. To further protect against misuse of this information and prevent unfair competition, employees are subject to non-competition agreements, restricting their involvement with similar businesses within a specific radius for a defined period after their employment ends.
