What This Means (2025 FDD)
According to the 2025 Big Apple Bagels FDD, the description of the Exclusive Area for a Big Apple Bagels franchise can be found in Rider A. The document states that the "Exclusive Area" refers to the geographical area detailed in Rider A, which is attached to and incorporated into the agreement by reference.
For prospective developers, it's important to carefully review Rider A to understand the specific geographical boundaries of the exclusive area. This area defines where Big Apple Bagels will grant the developer the rights to establish and operate franchises, and where Big Apple Bagels will not operate or franchise other stores, subject to the terms of the agreement.
The FDD also indicates that the Exclusive Area described in Rider A can be replaced with another area if the franchisor deems it available for development and the developer requests it. If such a change occurs, Rider A would be amended to reflect the new area, and the development rights and exclusivity for the original area would terminate, extending to the new Exclusive Area instead. This clause provides some flexibility but also highlights the importance of due diligence in assessing the suitability of any proposed Exclusive Area.
