Developer (or a managing partner or shareholder approved by Franchisor) shall exert his full-time efforts to his obligations hereunder and shall not engage in any other business or other activity, directly or indirectly, that requires any significant management responsibility, time commitments, or otherwise may conflict with Developer's obligations hereunder, without the express written consent of Franchisor. Developer (or such managing partner or shareholder) shall supervise the development and operation of BAGELS Stores franchised pursuant hereto, but need
not be engaged in the day-to-day operations of any such Store
