Does Best In Class Education Center have the right to disclose a franchisee's Operational Data?

According to the 2025 Best In Class Education Center Franchise Disclosure Document, "Operational Data" is defined as all data and information pertaining to the operation of your center, including employee data, expense data, financial accounting data, and sales data.

Best In Class Education Center considers certain information to be confidential. Confidential Information includes Know-How, Business Data, information in the Manual or comprising the System, terms of Definitive Agreements and any amendments thereto, and all other concepts, ideas, trade secrets, financial information, marketing strategies, expansion strategies, studies, supplier information, customer information, franchisee information, investor information, flow charts, inventions, mask works, improvements, discoveries, standards, specifications, formulae, recipes, designs, sketches, drawings, policies, processes, procedures, methodologies and techniques, together with analyses, compilations, studies or other documents that are: (i) designated as confidential; (ii) known by you to be considered confidential; and/or (iii) reasonably to be considered confidential due to their nature.

However, confidential information does not include information that is generally available to the public, rightfully possessed by the franchisee before disclosure, independently developed by the franchisee, or rightfully obtained from a third party without breaching a confidentiality covenant. Best In Class Education Center also has a social media policy that franchisees must adhere to, ensuring responsible and professional online conduct. Best In Class Education Center reserves the right to monitor content produced by franchisees and can post, edit, or remove content on franchisee's individual pages and/or created by franchisee on Social Media.
