Can Best In Class Education Center require franchisees to change their equipment?

**18.2.

Intellectual Property Changes**.

We may change the Intellectual Property at any time in our sole discretion, including the Copyrighted Materials, Know-how, Marks and/or System or discontinuing the licensing of LMS and/or the BC Portal to Centers.

You must implement all Intellectual Property changes we require in accordance with our instructions.

If we require you to discontinue use of our primary Mark, BEST IN CLASS EDUCATION CENTER®, we will reimburse you for your reasonable documented expenses of compliance (changing signage, brochures, stationary, etc.).

Other than the foregoing reimbursement obligation, we have no liability to you for any expenses, losses or damages you incur (including loss of goodwill associated with a Mark) due to a change to the Intellectual Property.

What This Means (2025 FDD)

According to Best In Class Education Center's 2025 Franchise Disclosure Document, Best In Class Education Center has the right to modify its intellectual property, and franchisees must implement changes that Best In Class Education Center requires. Intellectual property includes copyrighted materials, know-how, marks, and the system. These changes may include discontinuing the licensing of LMS and/or the BC Portal to Centers.

Best In Class Education Center franchisees are required to implement all intellectual property changes according to the franchisor's instructions. If Best In Class Education Center requires a franchisee to discontinue using the primary mark, BEST IN CLASS EDUCATION CENTER®, Best In Class Education Center will reimburse the franchisee for reasonable documented expenses of compliance, such as changing signage, brochures, and stationery.

However, Best In Class Education Center is not liable for any other expenses, losses, or damages a franchisee incurs due to a change to the intellectual property, including loss of goodwill associated with a mark, beyond the reimbursement for discontinuing the primary mark. This means that franchisees may need to update materials, systems, or other aspects of their center to comply with changes to Best In Class Education Center's intellectual property, and they will be responsible for the costs unless it involves discontinuing the primary mark.
