What is the process for Best In Class Education Center to approve a site for a Satellite Office?

e Territory Approval Notice attached hereto as ATTACHMENT C that we issue to you in accordance with §4 of this Addendum to identify the boundaries of your Satellite Office Territory (if the Satellite Office Territory is undetermined as of the Effective Date).
- 2. GRANT OF RIGHTS. We hereby grant you the right to establish and operate one (1) Satellite Office from a site we approve in accordance with §3 of this Addendum. Your Satellite Office must: (a) consist of "temporary space" that is not subject to a lease of more than 12 months in duration; and (b) be shared between you and one or more other businesses or organizations. Examples of satellite offices include churches, temples, libraries, HOA buildings, YMCAs, Boys & Girls Clubs, community centers, schools, and similar types of facilities.
- 3. SITE APPROVAL. You must identify and obtain our approval of the premises for your Satellite Office within 120 days after the Effective Date. The premises must be located inside the Center Territory (unless we agree to the contrary) and conform to our minimum site selection criteria. You must send us a complete site report that includes all all documents, information, photos and video we require. We may accept or reject sites you propose in our commercially reasonable judgment. We try to notify you of our decision within 15 days after we receive all requisite materials. Your site is deemed disapproved if we do not issue our approval within the 15-day period. If we approve the site for your Satellite Office before signing this
Addendum, we will list the address of your approved site in Part A of ATTACHMENT A to this Addendum. Otherwise, we list the address of your approved site in a Site Approval Notice we send to you within 15 days after we approve your site. Within five (5) business days after we send you the Site Approval Notice, you must sign and date the franchisee acknowledgment section and send us a copy for our records.

What This Means (2025 FDD)
According to the 2025 Best In Class Education Center FDD, franchisees must identify a location for their Satellite Office and secure approval from Best In Class Education Center within 120 days of the addendum's effective date. The location must be within the franchisee's Center Territory unless Best In Class Education Center agrees otherwise. The site must also meet the franchisor's minimum site selection criteria.
To initiate the approval process, the franchisee must submit a complete site report to Best In Class Education Center, including all required documents, information, photos, and videos. Best In Class Education Center will then evaluate the proposed site based on its commercially reasonable judgment and try to notify the franchisee of their decision within 15 days of receiving all necessary materials.
If Best In Class Education Center does not issue an approval within this 15-day period, the site is considered disapproved. If Best In Class Education Center approves the site before the Satellite Office Addendum is signed, the address will be listed in Part A of ATTACHMENT A to the Addendum. Otherwise, the address of the approved site will be listed in a Site Approval Notice sent to the franchisee within 15 days of approval. Franchisees must then sign and date the franchisee acknowledgment section of the Site Approval Notice and return a copy to Best In Class Education Center within five business days. The approval is effective and binding upon issuance of the Site Approval Notice, though the franchisee has five business days to suggest changes to the Satellite Office Territory.
