What must a Best In Class Education Center franchisee do if they conceive of or develop an Improvement?

You agree to assign to us or our designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses.
If applicable law precludes you from assigning ownership to us, then such Improvement shall be perpetually licensed by you to us free of charge, with full rights to use, commercialize and sublicense the same.

What This Means (2025 FDD)
According to the 2025 Best In Class Education Center FDD, if an employee or independent contractor of a franchisee develops an Improvement, the franchisee must assign all rights to it to Best In Class Education Center or their designee without charge. This includes the right for Best In Class Education Center to grant sublicenses for the Improvement.
If applicable law prevents the assignment of ownership to Best In Class Education Center, the franchisee must grant Best In Class Education Center a perpetual, free of charge license to the Improvement. This license gives Best In Class Education Center full rights to use, commercialize, and sublicense the Improvement.
This clause ensures that any advancements or innovations created within a Best In Class Education Center franchise become the property of the franchisor, allowing them to integrate these improvements across the entire franchise system.
