18. INTELLECTUAL PROPERTY
18.1. Ownership and Use. You acknowledge that: (a) we are (or our affiliate is) the exclusive owner of the Intellectual Property and the associated goodwill; and (b) your right to use the Intellectual Property is derived solely from this Agreement and is limited to a license to operate your Center during the Term pursuant to, and only in compliance with, this Agreement and the Manual. You may not use the Intellectual Property in connection with the sale of any unauthorized product or service or in any other manner not expressly authorized by us. Any unauthorized use of the Intellectual Property constitutes an infringement of our rights. You must comply with all provisions in the
- Manual governing use of the Intellectual Property.
You will not acquire any goodwill, title or interest in or to the Intellectual Property.

What This Means (2025 FDD)
According to the 2025 Best In Class Education Center FDD, franchisees acknowledge that Best In Class Education Center (or its affiliate) is the exclusive owner of the Intellectual Property and the associated goodwill. A franchisee's right to use the Intellectual Property, including the Marks, comes solely from the Franchise Agreement and is limited to operating their center during the term of the agreement, in compliance with the agreement and the manual.
The agreement explicitly states that any unauthorized use of the Intellectual Property by the franchisee constitutes an infringement of Best In Class Education Center's rights. Franchisees must adhere to all provisions in the manual governing the use of Intellectual Property.
Furthermore, franchisees do not acquire any goodwill, title, or interest in the Intellectual Property. This indicates that franchisees cannot claim ownership or challenge the validity of the Marks, as their usage is strictly licensed and controlled by Best In Class Education Center.
