You agree to assign to us or our designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses.

If applicable law precludes you from assigning ownership to us, then such Improvement shall be perpetually licensed by you to us free of charge, with full rights to use, commercialize and sublicense the same.

What This Means (2025 FDD)

According to the 2025 Best In Class Education Center FDD, if you are an employee or independent contractor of a Best In Class Education Center franchisee, you may be required to assign rights to any Improvement you develop. An Improvement is defined as any idea, addition, modification or improvement to the goods or services offered, method of operation, processes, systems, marketing materials, or intellectual property utilized by a Best In Class Education Center.

Specifically, as an employee or independent contractor, you agree to assign to Best In Class Education Center or its designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses. This means that any new ideas or enhancements you create related to the Best In Class Education Center business model automatically become the property of Best In Class Education Center.

However, if applicable law prevents you from assigning ownership to Best In Class Education Center, then such Improvement shall be perpetually licensed by you to Best In Class Education Center free of charge, with full rights to use, commercialize and sublicense the same. This ensures that even if outright assignment is not possible, Best In Class Education Center retains the right to utilize and profit from any Improvement you develop.
