What is the definition of 'Intellectual Property' for Best In Class Education Center franchisees?

"Copyrighted Materials" means all copyrightable materials for which we or our affiliate claim or secure common law or registered copyright protection and that we allow franchisees to use, sell or display in connection with the marketing and/or operation of a Center.
"Intellectual Property" means, collectively or individually, the Business Data, Copyrighted Materials, Improvements, Know-how, Marks and System.
"Know-how" means all of our trade secrets and other proprietary information relating to the design, construction, development, marketing or operation of a Center, including, but not limited to: architectural plans, drawings and specifications for a prototype Center; site selection criteria; curricula; instructional materials; methods and techniques; standards and specifications; policies and procedures; supplier lists and information; marketing strategies; merchandising strategies; financial information; and information comprising the System or included in the Manual.
"Manual" means our confidential brand standards manual for the operation of a Center.

What This Means (2025 FDD)
According to Best In Class Education Center's 2025 Franchise Disclosure Document, Intellectual Property is defined broadly. It encompasses several key elements critical to the brand's operation and identity. These elements include Business Data, which pertains to the franchisee's center, students, and business operations. It also includes Copyrighted Materials, which are all copyrightable materials that Best In Class Education Center allows franchisees to use, sell, or display. Improvements, which are any ideas or modifications to the services, operations, or intellectual property, are also included. Know-how, which refers to trade secrets and proprietary information, and the Marks, which are the service marks, trademarks, and logos, are also part of the Intellectual Property. Finally, the System, which is the business format and operating system, is included.
Best In Class Education Center emphasizes that they (or their affiliate) are the exclusive owner of the Intellectual Property, and any franchisee's right to use it comes solely from the Franchise Agreement. This agreement grants a limited license to operate the center during the term of the agreement, provided the franchisee complies with all its terms and the brand standards manual. Franchisees cannot use the Intellectual Property for unauthorized products or services, and any unauthorized use infringes on Best In Class Education Center's rights. Franchisees do not acquire any goodwill, title, or interest in the Intellectual Property itself.
Best In Class Education Center retains the right to change the Intellectual Property at any time, including the Copyrighted Materials, Know-how, Marks, and System. Franchisees are obligated to implement these changes as instructed. If Best In Class Education Center requires a franchisee to discontinue using the primary Mark, BEST IN CLASS EDUCATION CENTER®, they will reimburse the franchisee for reasonable documented expenses related to compliance, such as changing signage and brochures. However, Best In Class Education Center has no other liability for any expenses, losses, or damages incurred due to changes in the Intellectual Property, including loss of goodwill associated with a Mark.
