- 1. DEFINITIONS. Capitalized terms that are not defined above have the meanings given to them below:
- "Business Data" means all data pertaining to Franchisee's Center, students (and student parents) and business operations, whether collected by you, Franchisee, us or any other person.
- "Center" means a Best In Class Education business that provides school-aged children with supplemental learning opportunities in the areas of Mathematics and English as well as SAT and ACT preparation courses operating under the Marks.
- "Confidential Information" means and includes: (a) Know-How; (b) Business Data, including the names, contact information and other data pertaining to current, former, or prospective Center students; (c) information in the Manual or comprising the System; (d) terms of the Franchise Agreement (and related agreements) signed by Franchisee in connection with the Center; and (e) all other concepts, ideas, trade secrets, financial information, marketing strategies, expansion strategies, studies, supplier information, student and parent information, franchisee information, investor information, flow charts, inventions, mask works, improvements, discoveries, standards, specifications, formulae, recipes, designs, sketches, drawings, policies, processes, procedures, methodologies and techniques, together with analyses, compilations, studies or other documents that are: (i) designated as confidential; (ii) known by you to be considered confidential by us; and/or (iii) reasonably to be considered confidential due to their nature. Confidential Information does not include information that: (a) is now, or subsequently becomes, generally available to the public (except as a result of a breach of confidentiality obligations by you, Franchisee or Franchisee's owners, emp

What This Means (2025 FDD)
According to the 2025 Best In Class Education Center FDD, Confidential Information includes several categories of data and knowledge related to the franchise. This encompasses Know-How, which refers to trade secrets and proprietary information concerning the design, construction, marketing, and operation of a Best In Class Education Center. It also includes Business Data, which covers all data pertaining to the franchisee's center, students, and business operations.
Additionally, Confidential Information includes the information contained within the Best In Class Education Center's Manual or System, the terms of the Franchise Agreement, and other related agreements. The definition extends to concepts, ideas, trade secrets, financial information, marketing and expansion strategies, studies, supplier information, student and parent information, franchisee and investor information, flow charts, inventions, improvements, discoveries, standards, specifications, formulae, recipes, designs, sketches, drawings, policies, processes, procedures, methodologies, and techniques. These are considered confidential if they are designated as such, known to be considered confidential, or reasonably considered confidential due to their nature.
However, the FDD also specifies exceptions to what is considered Confidential Information. Information that is publicly available, rightfully possessed before disclosure, independently developed, or rightfully obtained from a third party without breaching a confidentiality agreement is not included. This distinction is important for franchisees to understand, as it clarifies the boundaries of their confidentiality obligations and what information they are free to use or disclose without violating the agreement.
