Can UWIN transfer the Benjamin Franklin Plumbing agreement to another party?

- 4.1 Transfer by UWIN. UWIN has the right, directly or indirectly, to sell, assign, transfer or otherwise dispose of this Agreement, or any or all of its rights and obligations under this Agreement, to any individual, firm, partnership, association, bank, lending institution, corporation, affiliate, limited liability company or other third party as UWIN may in its sole discretion deem appropriate. In the event of any such sale, assignment, transfer, or other disposition, UWIN will be released from any liability under this Agreement for the obligations transferred.

What This Means (2025 FDD)
According to the 2025 FDD, UWIN has the right to transfer the Benjamin Franklin Plumbing agreement. Specifically, UWIN can sell, assign, transfer, or dispose of the agreement, or any rights and obligations within it, to any individual, firm, partnership, association, bank, lending institution, corporation, affiliate, limited liability company, or other third party. This transfer can be done at UWIN's sole discretion.
This means that a prospective Benjamin Franklin Plumbing franchisee should be aware that the agreement they sign with UWIN could be transferred to another entity at any time. UWIN does not need the franchisee's consent or approval for this transfer.
In the event of such a transfer, UWIN will be released from any liability under the agreement for the obligations transferred. This could potentially affect the franchisee if they have any ongoing issues or disputes with UWIN, as the new entity would assume responsibility and UWIN would no longer be liable.
