What This Means (2025 FDD)
According to the 2025 Benjamin Franklin Plumbing FDD, the Washington Addendum to the franchise agreement will only take effect if the Franchise Agreement and/or the relationship between the franchisee and Benjamin Franklin Plumbing satisfy all the jurisdictional requirements of the Washington Franchise Investment Protection Act. This determination is made without considering the addendum itself.
This means that the standard franchise agreement must already meet the legal requirements for franchises in Washington State before the addendum has any impact. The addendum serves to modify or clarify specific aspects of the agreement in light of Washington law, but it doesn't create jurisdiction where it wouldn't otherwise exist.
Except for the specific modifications outlined in the Washington Addendum, the original Franchise Agreement remains in full force and effect. This ensures that the core terms of the agreement are upheld, with the addendum providing necessary adjustments to comply with Washington law. Prospective Benjamin Franklin Plumbing franchisees in Washington should carefully review both the standard Franchise Agreement and the Washington Addendum to understand their rights and obligations under state law.
