What This Means (2025 FDD)
According to the 2025 FDD, UWIN's approvals or consents regarding a Benjamin Franklin Plumbing franchise are only considered effective if they are provided in writing and have been properly executed by UWIN. This requirement ensures that any agreements or permissions granted by UWIN are formally documented and validated, protecting both UWIN and the franchisee.
This stipulation means that a Benjamin Franklin Plumbing franchisee cannot rely on verbal agreements or implied consent from UWIN. Any requests for approvals or consents must be submitted in writing to UWIN, and the franchisee must receive a written response that has been duly executed by UWIN to ensure its validity. This process helps to avoid misunderstandings and provides a clear record of the terms and conditions agreed upon.
The FDD also states that UWIN has the discretion to grant or withhold approvals or consents and is not required to demonstrate "reasonableness" or meet any other standard in making these determinations, unless expressly stated otherwise in the agreement. This clause gives UWIN significant authority in deciding whether to approve requests from Benjamin Franklin Plumbing franchisees, highlighting the importance of maintaining a positive relationship with UWIN and ensuring that all requests are well-documented and justified. Franchisees should be aware of this provision and factor it into their operational planning and interactions with UWIN.
