Our predecessor, Benjamin Franklin Franchising, LLC ("BFP"), a Missouri limited liability company, offered BENJAMIN FRANKLIN PLUMBING franchises from September 2001 to May 14, 2021. We do not have any other predecessors as franchisor of the BENJAMIN FRANKLIN PLUMBING brand.
Securitization Transaction
Under a secured financing transaction which closed on May 14, 2021 (the "Securitization Transaction"), Villa BidCo, Inc. and its affiliates were restructured. As part of the Securitization Transaction, all existing U.S. Franchise Agreements and related agreements for BENJAMIN FRANKLIN PLUMBING businesses were transferred to us, and we became the franchisor of all existing Franchise Agreements and related agreements. Ownership and control of all U.S. trademarks and certain intellectual property relating to the operation of BENJAMIN FRANKLIN PLUMBING businesses were also transferred to us.
