We became the franchisor of the BENJAMIN FRANKLIN PLUMBING system on May 14, 2021, as part of the Securitization Transaction (defined below). We began offering BENJAMIN FRANKLIN PLUMBING franchises on May 17, 2021.
Our predecessor, Benjamin Franklin Franchising, LLC ("BFP"), a Missouri limited liability company, offered BENJAMIN FRANKLIN PLUMBING franchises from September 2001 to May 14, 2021. We do not have any other predecessors as franchisor of the BENJAMIN FRANKLIN PLUMBING brand.
Securitization Transaction
Under a secured financing transaction which closed on May 14, 2021 (the "Securitization Transaction"), Villa BidCo, Inc. and its affiliates were restructured. As part of the Securitization Transaction, all existing U.S. Franchise Agreements and related agreements for BENJAMIN FRANKLIN PLUMBING businesses were transferred to us, and we became the franchisor of all existing Franchise Agreements and related agreements. Ownership and control of all U.S. trademarks and certain intellectual property relating to the operation of BENJAMIN FRANKLIN PLUMBING businesses were also transferred to us.

According to the 2025 Benjamin Franklin Plumbing Franchise Disclosure Document, Benjamin Franklin Franchising SPE LLC became the franchisor of the Benjamin Franklin Plumbing system on May 14, 2021. This was part of a secured financing transaction called the Securitization Transaction. On May 17, 2021, Benjamin Franklin Plumbing began offering franchises.
Prior to this date, from September 2001 to May 14, 2021, Benjamin Franklin Franchising, LLC (BFP) was the franchisor for Benjamin Franklin Plumbing franchises. The current franchisor, Benjamin Franklin Franchising SPE LLC, does not have any other predecessors besides BFP.
As part of the Securitization Transaction, all existing U.S. Franchise Agreements and related agreements for Benjamin Franklin Plumbing businesses were transferred to Benjamin Franklin Franchising SPE LLC. Additionally, ownership and control of all U.S. trademarks and certain intellectual property related to the operation of Benjamin Franklin Plumbing businesses were also transferred to the current franchisor.
