Under what circumstances might Benihana refuse to approve a franchisee's proposal to add new suppliers?

Benihana Franchise · 2024 FDD

Answer from 2024 FDD Document

We may negotiate purchase arrangements, including price terms, with designated and approved suppliers on behalf of the BENIHANA System. These arrangements may include preferred vendor programs with suppliers that are willing to supply some products, equipment, or services to some or all of the BENIHANA Restaurants in the BENIHANA System. If we do establish those types of programs or arrangements, we may limit the number of approved suppliers with whom you may deal, we may designate sources that you must use for some or all products, equipment and services, and we may refuse to approve proposals from franchisees to add new suppliers if we believe that approval would not be in the best interests of the BENIHANA System.

What This Means (2024 FDD)

According to Benihana's 2024 Franchise Disclosure Document, Benihana has the right to refuse a franchisee's proposal to add new suppliers if they believe that the approval would not be in the best interests of the Benihana system. This gives Benihana broad discretion in managing its supply chain and ensuring quality and uniformity across all franchise locations.

Benihana may negotiate purchase arrangements with approved suppliers on behalf of the entire Benihana system, potentially limiting the number of approved suppliers a franchisee can deal with. They may also designate specific sources that franchisees must use for certain products, equipment, and services. This centralized approach to purchasing allows Benihana to maintain consistent standards and potentially negotiate better prices due to higher volume purchases.

Prospective franchisees should be aware that Benihana is not obligated to disclose its criteria for product or supplier approval. Benihana also develops proprietary recipes and products for the Benihana system, requiring franchisees to purchase these exclusively from Benihana or their designated sources. This ensures the uniformity and quality of these key items, which Benihana considers essential to the brand's success. Franchisees should inquire about the specific criteria and processes Benihana uses to evaluate and approve suppliers to better understand the potential limitations and requirements.
