Under what circumstances will a Benihana franchise agreement be terminated immediately upon a third act of default within a 12-month period?
Benihana Franchise · 2024 FDDAnswer from 2024 FDD Document
- 13.2.25 Franchisee commits three (3) or more acts of default under this Agreement within any consecutive twelve (12) month period, even if Franchisee cures any of the three acts of default. There is no cure period under this provision, so that if two prior defaults occur within a twelve (12) month period, this Agreement will terminate immediately upon the occurrence of a third act of default and a notice of default and termination delivered by BNC to Franchisee.

What This Means (2024 FDD)
According to Benihana's 2024 Franchise Disclosure Document, the franchise agreement can be terminated immediately if a franchisee commits three or more acts of default within a 12-month period. This is a serious matter because even if the franchisee manages to correct each individual default, the occurrence of the third default triggers immediate termination. Benihana will deliver a notice of default and termination to the franchisee.
This clause emphasizes the importance of maintaining consistent compliance with the franchise agreement. Unlike many other default scenarios, there is no opportunity to correct the situation once the third default occurs within the specified timeframe. This could be particularly challenging for franchisees who may face unforeseen operational difficulties or compliance challenges.
For a prospective Benihana franchisee, this condition highlights the need for meticulous attention to all aspects of the franchise agreement and a robust system for ensuring ongoing compliance. It would be prudent to fully understand what constitutes an act of default and to implement proactive measures to prevent any breaches of the agreement. The franchisee should also seek clarification from Benihana regarding the types of actions that could trigger a default notice to avoid unintentional violations.
