What This Means (2024 FDD)
According to Benihana's 2024 Franchise Disclosure Document, franchisees must maintain their restaurants in good condition and repair, adhering to the Benihana Standards throughout the franchise term. This encompasses a broad range of maintenance and appearance criteria. Benihana provides these standards in its Operations Manual and other communications, which it may modify at any time.
The required maintenance includes, but is not limited to, replacing worn carpeting or flooring, repainting and repairing walls, floors, wood trims, and ceilings as needed. It also involves repairing, refurbishing, or replacing any damaged or worn fixtures, furniture, or decorative items, including all components of Benihana's trade dress. Franchisees must use only approved brands, types, and models of signs displaying the Marks, equipment, or fixtures that meet Benihana's specifications, and these must be purchased from approved suppliers unless Benihana agrees otherwise in writing.
Failure to maintain the restaurant to Benihana's required standards can result in the franchisee being in default of their agreement. Benihana has the right to direct franchisees to make additions, alterations, repairs, and replacements, including repainting or replacing obsolete signs, furnishings, equipment, and décor. However, franchisees must not make any changes to the restaurant or premises without Benihana's prior written consent.
Overall, these requirements ensure uniformity and quality across all Benihana locations, protecting the brand's image and customer experience. Franchisees should be prepared to invest continuously in maintaining their restaurant to meet these standards, as neglecting maintenance can lead to non-compliance and potential penalties.
