- F. Franchisee understands and acknowledges the importance of the BENIHANA System and the BENIHANA Standards relating to product quality, cleanliness, appearance, and customer service that are a critical part of the BENIHANA System, and Franchisee acknowledges the necessity of operating the BENIHANA Restaurant franchised under this Agreement in conformity with the BENIHANA System, including the BENIHANA Standards.

The franchisee must use the designated location solely for operating the Benihana Restaurant and must not conduct any other business activities without prior written consent from Benihana.
The franchisee also acknowledges receiving valuable and specialized training in the Benihana System, which goes beyond their existing skills and knowledge. Access to Benihana's confidential information provides a competitive advantage. As a condition of this training and access, the franchisee agrees to certain covenants that protect Benihana's business interests and the interests of other franchisees within the system. This includes devoting full time and effort to managing the restaurant and maintaining the confidentiality of proprietary information, such as recipes, operational details, and advertising techniques.
Upon termination or expiration of the franchise agreement, all rights granted to the franchisee immediately cease. The franchisee must stop operating the restaurant and using any materials associated with the Benihana System. They must also cease using any confidential information and return all manuals and records to Benihana. This underscores the importance of adhering to the Benihana System throughout the franchise term and the consequences of failing to do so.
