Can Benihana limit the number of approved suppliers a franchisee may deal with?

Benihana Franchise · 2024 FDD

Answer from 2024 FDD Document

We may negotiate purchase arrangements, including price terms, with designated and approved suppliers on behalf of the BENIHANA System. These arrangements may include preferred vendor programs with suppliers that are willing to supply some products, equipment, or services to some or all of the BENIHANA Restaurants in the BENIHANA System. If we do establish those types of programs or arrangements, we may limit the number of approved suppliers with whom you may deal, we may designate sources that you must use for some or all products, equipment and services, and we may refuse to approve proposals from franchisees to add new suppliers if we believe that approval would not be in the best interests of the BENIHANA System.

What This Means (2024 FDD)

According to Benihana's 2024 Franchise Disclosure Document, Benihana has the right to limit the number of approved suppliers a franchisee may deal with. Benihana may designate sources that franchisees must use for some or all products, equipment, and services. Benihana may also refuse to approve proposals from franchisees to add new suppliers if they believe that approval would not be in the best interests of the Benihana system.

This means that as a Benihana franchisee, you may not have complete freedom in choosing your suppliers. Benihana maintains control over the supply chain to ensure quality and uniformity within the system. This is a fairly common practice in franchising, as franchisors want to maintain brand consistency and standards.

If a franchisee wishes to use a supplier that is not on the approved list, they must submit a written request for approval, or request the supplier to do so. Benihana will evaluate the supplier based on their ability to meet the brand's standards and specifications, but Benihana does not make their supplier evaluation criteria available to franchisees or any supplier. The franchisee may also be required to pay a fee to cover the costs of testing samples from the supplier. Benihana has 45 days to notify the franchisee of their decision after the inspection and evaluation process is complete.
